Key areas of review in the year included corporate business focuses
and changes in operating environment, corporate performance review,
corporate performance measures, corporate business plan and
consolidated budget, potential subsidized housing projects and new
Senior Citizen Residences Scheme project, redevelopment of rental
estates, marketing and sales strategy of development projects, research
report on housing in an ageing community, remuneration policy review
and salary review, monthly report from Management, audited financial
statements, and appointment of members of the Remuneration
Committee, Special Committee on Elderly Housing, Special Committee
on Investment and Task Force on Design and Construction.
There were 12 members on the Executive Committee as at 1 April 2015,
comprising the Chairman and the Vice-Chairman of the Supervisory
Board, the Permanent Secretary for Transport and Housing (Housing)
serving as an ex officio member, the Chief Executive Officer and
Executive Director, and eight members appointed by the Supervisory Board.
At the AGM held on 8 September 2015, four members had completed
their three-year terms of office and retired from the Executive Committee,
namely the Chairman, Mr Marco Wu Moon-hoi; the Vice-Chairman,
Mr Lincoln Leong Kwok-kuen; Dr KimMak Kin-wah; andMrWalter Chan Kar-lok,
fulfilling the one-third retirement rule. Except Mr Walter Chan Kar-lok
who had served on the Executive Committee for six consecutive years,
the other three retiring members were eligible for re-appointment.
As Mr Marco Wu Moon-hoi and Mr Lincoln Leong Kwok-kuen had been
successfully re-elected as the Chairman and the Vice-Chairman of the
Supervisory Board at the Supervisory Board Meeting held immediately
after the AGM on 8 September 2015, they were the Chairman and the
Vice-Chairman of the Executive Committee respectively. At the same
Supervisory Board meeting, Dr KimMak Kin-wah was re-appointed and
Mr Edgar Kwan Chi-ping was appointed to the Executive Committee. The
Executive Committee was composed of 12 members as at 31 March 2016.
The Executive Committee held 11 meetings during the financial year
with an overall attendance rate of 86 per cent.
Emoluments for Executive Committee Members
Non-ex officio members of the Executive Committee received an
honorarium in recognition of their level of accountability. These
emoluments are set by the Supervisory Board with current levels
being effective since 1 April 2002. The Chairman and the Vice-Chairman
are entitled to HK$30,000 and HK$15,000 per month respectively
while HK$7,500 per month is offered to each of the other non-ex officio
members. As at 31 March 2016, five out of the ten non-ex officio Executive
Committee members had opted not to receive these emoluments.
本年度執行委員會的主要工作包括審批業務
重點;檢視經營環境轉變及企業表現;審批
企業表現指標、企業業務計劃及綜合預算、
具潛力興建的資助房屋項目及「長者安居樂」
住屋計劃的新項目、出租屋邨的重建、發展
項目的市場及銷售策略、人口老化的房屋研
究報告、薪酬政策及薪金檢討;檢視管理層
的每月報告;批核已審計的財務報表以及薪
酬委員會、長者房屋特別委員會、投資特別
委員會和項目設計及建築工程專責小組成員
的委任。
截至二零一五年四月一日,執行委員會共有
十二位成員,包括監事會主席和副主席、由
運輸及房屋局常任秘書長(房屋)出任的當然
委員、房協行政總裁兼執行總幹事及八位由
監事會委任的委員。於二零一五年九月八日
舉行的周年委員大會當日,四位委員於完成
其三年任期後退任執行委員會委員,包括主
席鄔滿海先生、副主席梁國權先生、麥建華
博士及陳家樂先生,符合了三分之一委員退
任的規定。除陳家樂先生已連續六年出任執
行委員會委員外,其餘三位退任委員均符合
資格連任。於二零一五年九月八日的周年委
員大會後接續舉行的監事會會議中,鄔滿海
先生及梁國權先生成功獲選連任監事會主席
及副主席,故分別出任執行委員會主席及副
主席。於同一監事會會議中,麥建華博士獲
再委任執行委員會委員,關治平先生亦獲委
任為執行委員會委員。在二零一六年三月
三十一日,執行委員會共有十二位成員。
執行委員會在本財政年度共舉行了十一次
會議,整體出席率為百分之八十六。
執行委員會委員的酬金
執行委員會的非當然委員均可獲發酬金,以確
認他們對房協職務的承擔。酬金的水平由監事
會釐訂,現時的酬金水平由二零零二年四月一
日起生效,其中主席的酬金為每月港幣三
萬元,副主席為每月港幣一萬五千元,而其他
非當然委員則為每月港幣七千五百元。於二零
一六年三月三十一日,在十位執行委員會非當
然委員當中,有五位選擇不收取酬金。
