At the AGM held on 8 September 2015, nine Supervisory Board members
retired, namely Mr Marco Wu Moon-hoi, Mr Lincoln Leong Kwok-kuen,
Mr Victor Chan Hin-fu, Mr Joseph Fan Wai-kuen, Ms Loretta Ho Pak-ching,
Dr Lau Kwok-yu, Mr Edgar Kwan Chi-ping, Mr Yeung Ka-sing and
Dr Peter Pun Kwok-shing, fulfilling the one-third retirement requirement.
Mr Edgar Kwan Chi-ping and Mr Yeung Ka-sing were not eligible to
stand for re-election to the Supervisory Board at the 2015 AGM as they
had already served on the Supervisory Board for two consecutive
three-year terms. Ms Loretta Ho Pak-ching indicated not to stand for
re-election to the Supervisory Board while Dr Peter Pun Kwok-shing
expressed intention to step down from the Supervisory Board at the
2015 AGM. Mr Marco Wu Moon-hoi, Mr Lincoln Leong Kwok-kuen,
Mr Victor Chan Hin-fu, Mr Joseph Fan Wai-kuen and Dr Lau Kwok-yu stood
for re-election and were successfully re-elected to the Supervisory
Board at the 2015 AGM. The four other Housing Society Members who
were successfully elected to the Supervisory Board at the 2015 AGM
were Mr Au Choi-kai, Mr Walter Chan Kar-lok, Prof Eddie Hui Chi-man
and Mr Wong Bay. The Supervisory Board consisted of 25 members
as at 31 March 2016.
Five Supervisory Board meetings were held during the financial year
with an overall attendance rate of 78 per cent.
With a view to ensuring succession and increasing new blood for
the Supervisory Board, a consultant was engaged to conduct a study
on the Supervisory Board election and rotation mechanism. The
Nominating Committee, having considered the various options
proposed by the consultant, had recommended to implement the
‘Two-year Grace Period Extension’ option for the Supervisory Board,
i.e. a member who retires from the Supervisory Board after six or more
consecutive years of service is not eligible for re-election for two
years (namely until the second AGM following such retirement). The
recommendation was endorsed by the Supervisory Board. A Special
Resolution for amending Article 22(d) of the Constitution of the
Housing Society to effect the two-year grace period for Supervisory
Board membership was passed by Members at the extraordinary
general meeting convened on 6 July 2015. The new two-year grace
period for Supervisory Board membership took effect at the 2015 AGM.
Executive Committee
The Executive Committee approves strategies proposed by the
Management, monitors Management performance and approves
recommendations made by other Committees where appropriate as
well as major decisions beyond the Management thresholds. It also
appoints members to the Remuneration Committee, special
committee, ad hoc committee and task force.

當日，有九位監事會委員退任，包括鄔滿海
先生、梁國權先生、陳顯滬先生、樊偉權先
生、何柏貞女士、劉國裕博士、關治平先
生、楊家聲先生及潘國城博士，符合了三分
之一成員退任的規定。由於關治平先生及
楊家聲先生已連續於兩個三年任期出任監事
會委員，故不能於二零一五年周年委員大會
中重選連任。何柏貞女士表示不會參與重選
連任監事會委員，而潘國城博士則表示於二
零一五年周年委員大會當日退任監事會
委員。鄔滿海先生、梁國權先生、陳顯滬先
生、樊偉權先生及劉國裕博士於二零一五年
周年委員大會中參與重選，並成功獲選連任
監事會委員。另外，四位於二零一五年周年
委員大會中獲選加入監事會的房協委員為
區載佳先生、陳家樂先生、許智文教授及
黃比先生。在二零一六年三月三十一日，
監事會共有二十五位成員。
監事會在本財政年度共舉行了五次會議，
整體出席率為百分之七十八。
為確保監事會繼任順利及增添新血，房協
委聘顧問就監事會的選舉和輪換機制進行
研究。經考慮顧問提出的各種方案後，
提名委員會建議監事會實施「兩年休職期
延長」方案，規定連續六年或以上出任監事
會委員的委員自退任監事會後兩年內（即直
至退任後第二屆周年委員大會）不能重選。
該建議得到監事會批准，並在二零一五年
七月六日舉行的特別委員大會通過有關修
訂香港房屋協會憲法第二十二

條的特別
決議案，實施監事會委員兩年休職期。監
事會新實施的兩年休職期自二零一五年周
年委員大會起生效。
執行委員會
執行委員會負責審批管理層提議的策略、
監察管理層的表現及審批其他委員會呈交
的建議，以及批核管理層權限以外的重要
決定。執行委員會亦負責委任薪酬委員
會、特別委員會、專責委員會及專責小組
的成員。
